Terms of Service
These Terms of Service ("Terms") govern your access to and use of the software services provided by MYNTY Inc. ("MYNTY," "we," "us," or "our"), including the Code Lock Shopify application, the MYNTY merchant dashboard, and all related APIs and websites (collectively, the "Services"). By installing the app, creating an account, or otherwise accessing the Services, you ("Merchant" or "you") agree to be bound by these Terms.
1. Eligibility and Account
You must be at least 18 years old and have the legal authority to enter into agreements on behalf of your business to use the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@mynty.io if you suspect unauthorized access.
2. The Services
Code Lock is a Shopify application that captures referral attribution from influencer or affiliate links, locks that attribution to the correct partner, and helps prevent coupon-extension tools from overriding applied discount codes. The Services include:
- A storefront script deployed via Shopify theme app embed that captures referral parameters.
- A Shopify Checkout Function that enforces locked discount codes.
- A Shopify Web Pixel that sends checkout lifecycle signals.
- A server-side order attribution webhook handler.
- A merchant dashboard for configuration, reporting, and diagnostics.
3. Subscription Plans and Fees
Free tier. The Code Lock core attribution features are provided free of charge with no time limit, subject to Shopify's platform requirements and these Terms.
Paid tiers. Additional features (including Smart Suppress and advanced analytics) are offered on paid plans. Pricing, billing cycles, and features for paid plans are described on our pricing page and in any order form you execute with us. All fees are in USD and non-refundable except as required by law or expressly stated in these Terms.
Changes to pricing. We reserve the right to change pricing with at least 30 days' notice. Your continued use of a paid plan after the notice period constitutes acceptance of the new price.
4. Acceptable Use
You agree not to:
- Use the Services to defraud customers, partners, or third parties.
- Reverse-engineer, decompile, or attempt to extract the source code of the Services.
- Resell, sublicense, or otherwise transfer your access to the Services to third parties without our written consent.
- Use the Services in a way that violates Shopify's Partner Program Agreement, API Terms of Service, or Acceptable Use Policy.
- Attempt to gain unauthorized access to any part of the Services or related systems.
- Use the Services to transmit malware, spam, or any other harmful content.
- Interfere with or disrupt the integrity or performance of the Services.
5. Your Data and Our License to Use It
You retain ownership of your store data, influencer configurations, and order attribution records ("Merchant Data"). You grant MYNTY a limited, non-exclusive license to access, process, and display Merchant Data solely to provide and improve the Services. Our handling of Merchant Data is governed by our Privacy Policy.
6. Shopify Platform Requirements
Code Lock is built on the Shopify platform. Your use of the Services is also subject to Shopify's Terms of Service and Privacy Policy. We are not responsible for changes Shopify makes to its platform that affect the functionality of the Services.
7. Intellectual Property
All software, designs, algorithms, and content comprising the Services are owned by MYNTY or our licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use the MYNTY name, logo, or trademarks without our prior written consent.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. MYNTY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
ATTRIBUTION RESULTS ARE PROVIDED ON A BEST-EFFORT BASIS. WE DO NOT GUARANTEE THAT EVERY ORDER WILL BE CORRECTLY ATTRIBUTED OR THAT ALL COUPON EXTENSION OVERRIDES WILL BE BLOCKED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYNTY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF MYNTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MYNTY'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO MYNTY IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.
10. Indemnification
You agree to indemnify, defend, and hold harmless MYNTY and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) your Merchant Data.
11. Term and Termination
These Terms are effective from the date you first access the Services and continue until terminated. Either party may terminate at any time: you by uninstalling the app and closing your account; MYNTY by providing notice to your registered email address. We may suspend or terminate your access immediately, without notice, if you violate these Terms or engage in conduct we determine to be harmful to the Services or other users. Upon termination, your right to use the Services ceases, and we will handle your data in accordance with our Privacy Policy.
12. Modifications to the Terms
We may update these Terms at any time. We will post the updated Terms on this page with a revised effective date and may notify you by email. Your continued use of the Services after the effective date constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Services.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction for claims involving intellectual property or unauthorized access. The arbitration shall take place in Delaware. Notwithstanding the foregoing, for merchants located in the EU, mandatory consumer protection rules of your country of residence may apply.
14. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy and any order form, constitute the entire agreement between you and MYNTY regarding the Services.
- Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.
- No waiver. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events outside our reasonable control.
